Subject: Exciting News about the Future of Dave
Hi Team:
I wanted to share some exciting news with you about an important milestone for Dave. Today we announced that weve taken steps necessary to become a public company!
Before I get into the details, I want to thank you for everything you have done to help Dave get to this important milestone. I believe today more than ever in this companys mission and Im energized to see what we can all do together with this wind in our sails.
When Paras, John and I got together back in 2016 to create Dave, we had huge ambitions to improve peoples financial lives. In four short years since launch, weve reinvented overdraft with 30 million advances taken, submitted 4 million job applications through Side Hustle and opened 1.3 million Dave Banking accounts. In total, $1 billion in fees have been avoided thanks to Dave. With that, there is so much more to grow, so many additional products to build and a lot more competition to outpace, and being a public company will help us accelerate our plans to do so. I could not be more excited for our next chapter.
We are going public by merging with a publicly-traded special purpose acquisition company (SPAC) traded on the NYSE (VPC Impact Acquisition Holdings III, Inc., a Delaware corporation). At the close of this transaction, Dave will become a publicly traded company. We anticipate this to happen late in the third quarter or in the fourth quarter this year.
The full press release announcing the transaction can be seen here. We also received great coverage in the New York Times. Look out for a calendar invite to an all company meeting today from 9:30 - 10:30am PST.
You may get questions from investors, business partners, even family and friends. If that happens, it is critical that our performance and any future plans are kept confidential. It is very important that everyone refrain from making any comments about our financial performance, the business combination, or future plans with anyone outside of the company. Internal company communications must remain confidential and are not to be shared with anyone outside of Dave this includes sharing information or statements about the business combination publicly which are not already public, including all channels such as
e-mail, Twitter, Facebook, blogs, conversations with vendors, friends, family, etc. If you are contacted by anyone outside of the company, including media, industry analysts or investors, regarding our planned business combination, please direct them to Jazmin Beltran, Daves Communications Specialist. And, please review the attached social media guidelines we all need to follow. This is very important and we ask for everyones help in protecting our information.
Looking forward to sharing more in our meeting and celebrating this news with all of you.
